Terms of Service

1. Acceptance of Terms

By accessing or using the Oxbrivy platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an institution, you represent that you have authority to bind that institution and these Terms apply to both you and the institution. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Oxbrivy provides a software-as-a-service platform for universities and graduate schools to manage graduate admissions, including application intake, document storage, AI-assisted review, email communication management, and pipeline tracking. The Service is accessed via oxbrivy.com and any associated subdomains.

3. Eligibility

The Service is intended for institutions (universities and graduate schools) and their authorised staff and administrators. You must be at least 18 years old to create an account. Applicant data may be processed on behalf of individuals under 18 where the institution is responsible for obtaining appropriate consents.

4. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You must:

• Provide accurate and complete information when registering.
• Notify us immediately at admin@oxbrivy.com if you suspect unauthorised access.
• Not share your credentials with any third party.
• Not create accounts for automated bots or non-human actors without our consent.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable Indian or international law or regulation.
• Upload or transmit malicious code, spam, or unsolicited communications.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Process personal data of applicants for any purpose other than legitimate admissions review.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or commercialise access to the Service without our written consent.
• Discriminate against applicants on the basis of any characteristic protected under Indian law.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. As an institution using the Service, you are the data fiduciary for applicant personal data you upload or receive. Oxbrivy acts as a data processor on your behalf. You are responsible for obtaining any consents required from applicants under the Digital Personal Data Protection Act, 2023 (DPDPA) and any other applicable law before processing their data on the platform.

7. AI-Assisted Features

The Service includes AI-generated summaries, scores, and recommendations. These are provided as decision-support tools only. Oxbrivy makes no warranty as to the accuracy or completeness of AI-generated outputs. All final admissions decisions remain solely with your institution. You must not use AI outputs as the sole basis for any decision that significantly affects an applicant's rights or opportunities.

8. Intellectual Property

All rights, title, and interest in the Service, including software, design, and documentation, belong to Oxbrivy or its licensors. These Terms do not grant you any ownership rights. You retain ownership of data and content you upload to the platform. By uploading content, you grant Oxbrivy a limited licence to process and store that content solely for the purpose of providing the Service.

9. Fees and Payment

Access to the Service may be subject to subscription fees as agreed in a separate order form or agreement. Fees are non-refundable except as expressly stated in that agreement or required by applicable Indian law. We reserve the right to modify pricing with 30 days' notice.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Oxbrivy's total liability for any claim arising from or related to these Terms or the Service shall not exceed the greater of (a) the fees paid by you in the three months preceding the claim or (b) ₹10,000. In no event shall Oxbrivy be liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Oxbrivy harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your breach of applicable law, or your processing of applicant data without lawful basis.

13. Termination

Either party may terminate these Terms at any time by providing 30 days' written notice. We may suspend or terminate your access immediately for material breach of these Terms or applicable law. Upon termination, your right to access the Service ceases. We will provide a 30-day window to export your data before deletion, unless prohibited by law.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

15. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated with at least 14 days' notice via the platform or email. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
